Terms of Service
Effective date: July 2026
1. Services
Steadly provides AI automation consulting, custom system design, and implementation services on a project basis. Each engagement is individually scoped and agreed in writing before work begins. Services include but are not limited to: workflow automation, AI agent development, internal tooling, and API integrations.
2. Engagement process
All work begins with a written scope document specifying deliverables, timeline, and fees. No work commences without written confirmation from both parties. Scope changes must be agreed in writing and may affect timeline and fees.
3. Deliverables and ownership
Upon receipt of full payment, the client owns all custom-built systems, source code, and documentation delivered under the engagement. Steadly retains no license to reuse client-specific code without explicit written permission. Generic components, templates, or frameworks developed independently by Steadly prior to or outside the engagement remain the intellectual property of Steadly.
4. Payment
Payment terms are specified per engagement and confirmed in the scope document. Standard terms are 50% on project kickoff and 50% on delivery, unless otherwise agreed. Late payments may result in suspension of work. Steadly reserves the right to withhold delivery of final assets until payment is received in full.
5. Timelines
Average delivery times stated in marketing materials (e.g. "avg. 3 weeks to production") reflect historical averages from completed engagements with full client collaboration and responsive communication. Delays caused by client unavailability, delayed feedback, or third-party dependencies are not included in these averages and do not constitute a breach by Steadly.
6. Limitation of liability
Steadly's total liability for any claim arising from an engagement is limited to the total fees paid by the client for that specific engagement. Steadly is not liable for indirect, consequential, incidental, or punitive damages, including loss of revenue, loss of data, or business interruption, even if advised of the possibility of such damages.
7. Third-party services
Systems built may rely on third-party platforms including but not limited to n8n, Make, Zapier, Airtable, OpenAI, Anthropic, and others. Steadly is not responsible for outages, pricing changes, API deprecations, or discontinuation of third-party services after delivery. It is the client's responsibility to maintain active subscriptions to any third-party services required to operate delivered systems.
8. Confidentiality
Both parties agree to keep the details of each engagement confidential. Client names and project specifics are not used in case studies, marketing, or public communications without explicit written consent from the client. This obligation survives the termination of the engagement.
9. Governing law
These terms are governed by the laws of the jurisdiction in which Steadly is registered. Any disputes arising from these terms or an engagement shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes may be referred to the competent courts of that jurisdiction.
